Terms of Service
These terms apply to all engagements between Chyzh Agency and Swiss businesses under the Digital Delight brand.
1. Contract formation
Contract takes effect upon both parties signing the individual quote. This site does not constitute a binding offer — prices and scope can be customised.
2. Scope of services
As specified in the individual contract. AEO/GEO retainers — monthly deliverables per package spec. Website-by-1-Day — one-time delivery per tier. Combo packages — combined delivery with applicable bonus.
3. Payment terms
- AEO/GEO: monthly prepayment by the 5th of the current month. First invoice 100% at signature.
- Website-by-1-Day: 50% at delivery-day booking, 50% after live launch.
- Payment in EUR or CHF at ECB rate on invoice date.
- Methods: SEPA, SWIFT, Stripe, Wise.
- 6-month AEO/GEO prepay — 10% off.
4. Minimum term and termination
Starter 3 months. Growth, Scale, Enterprise, Performance — 6 months. No automatic renewal — contract ends at minimum term unless actively extended.
5. Delivery and guarantees
No guarantees on AI-citation results — they're probabilistic. We publish expected ranges based on industry experience. Clear miss of minimum success markers at quarter 1 or 2 triggers strategy reset or contract termination (special right of termination).
6. Confidentiality
Both parties commit to confidentiality of project information. Standard NDA on request. Co-branding and case studies require written client consent.
7. Liability
Liability limited to wilful misconduct and gross negligence. Maximum liability: 12 monthly amounts of the current contract. No liability for lost profit or indirect damages.
8. VAT and taxes
As a Ukrainian company we are not VAT-liable in Switzerland. Reverse charge (Art. 45 para 2 Swiss VAT Act) at the Swiss client. Outside CH/EU local rules apply.
9. Governing law and jurisdiction
Ukrainian or Swiss law per contract. Jurisdiction: Vienna (LCIA arbitration) or Zurich.
10. Severability
If individual provisions are invalid, the remaining provisions remain in force.
